Terms of Service

Article 1 (General Provisions)

These Terms of Service (the "Terms") set forth the conditions governing the use of "Getnews Creator Database" (the "Service"), a web service operated by Brazil Ltd. ("we," "our," or "us") at https://gcd.getnews.jp.

The Service is invitation-only and available exclusively to creators who have entered into a partnership agreement with us ("Users"). By registering an account, Users are deemed to have agreed to these Terms.

We may modify these Terms at any time without prior notice to Users. Modified Terms shall take effect upon being posted on the Service. However, for material changes regarding the use of User data, we will provide notice through the Service or by email, and will seek re-consent from Users where necessary.

Article 2 (Description of the Service)

The Service integrates with Users' YouTube channels and provides the following features:

• Video Portfolio — aggregation and display of YouTube videos
• Topic Generation — automatic extraction of topics from video captions using AI services
• Full-Text Search — cross-referencing search of video captions and topics
• Public Portfolio — a publicly accessible page showcasing the User's video information

Article 3 (Accounts)

1. Users shall create an account based on an invitation from us.
2. Users are responsible for properly managing their account credentials (email address, password, etc.).
3. Transfer, lending, or sharing of accounts with third parties is prohibited.
4. All actions performed through a User's account shall be deemed the actions of that User.

Article 4 (YouTube Integration)

1. To use the YouTube integration features, Users shall authorize the Service to access their Google account through Google OAuth 2.0.
2. The handling of data obtained through YouTube integration shall be as set forth in our Privacy Policy.
3. Use of YouTube API Services within the Service is subject to the YouTube Terms of Service and the Google Privacy Policy.
4. The Service complies with the Google API Services User Data Policy, including the Limited Use requirements.
5. Users may disconnect their YouTube integration at any time through the following methods:
   • From within the Service — Use the "Disconnect Google" option on the YouTube management page. YouTube data and derived data will be deleted within 7 calendar days after disconnection.
   • From Google Security Settings — Select Getnews Creator Database from the list of connected applications and remove access. YouTube data and derived data will be deleted within 30 calendar days after revocation.

Article 5 (AI Data Processing)

1. The Service sends YouTube video caption data to the Google Gemini API for topic extraction and subtitle formatting.
2. Users shall consent to AI processing when initiating the YouTube integration.
3. Rights in data generated through AI processing (topics, formatted subtitles, etc.) shall belong to the User only to the extent permitted by rights in the source content from which such data is derived. The User warrants that they hold all necessary rights in such source content.

Article 6 (Data Handling)

We adhere to the following commitments regarding User data obtained through YouTube API Services:

1. YouTube data is used solely for providing and improving the core features of the Service (video portfolio, topic generation, and search).
2. We do not use YouTube data for advertising purposes.
3. We do not sell, trade, or lend YouTube data to third parties.
4. We do not use YouTube data for purposes unrelated to the Service.
5. Human access to YouTube data is limited to what is necessary for service operations, security purposes, or legal compliance.
6. Stored YouTube data is periodically refreshed via the YouTube API to maintain accuracy and currency.

Article 7 (Content)

1. Rights to content imported into the Service through YouTube integration (video metadata, captions, etc.) belong to the User.
2. Users warrant that their content imported into the Service:
   • Does not infringe any third party's copyright, trademark rights, portrait rights, privacy rights, or other rights
   • Does not violate any applicable laws or regulations
3. We may use Users' content (video titles, descriptions, thumbnails, generated topics, etc.) free of charge to the extent necessary for operating and providing the Service.

Article 8 (Data Security)

We implement organizational, human, physical, and technical security measures to protect Users' personal information and data. For details on our security measures, please refer to our Privacy Policy.

However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

Article 9 (Prohibited Activities)

Users shall not engage in any of the following activities when using the Service:

1. Actions that violate laws, regulations, or public order and morals
2. Actions related to criminal activity
3. Actions that infringe our or any third party's intellectual property rights, portrait rights, privacy rights, or other rights
4. Defamation or slander directed at us or any third party
5. Actions that place an excessive load on the Service's servers or network
6. Actions that interfere with the operation of the Service
7. Unauthorized access or attempts thereof
8. Unauthorized collection or accumulation of other Users' personal information
9. Impersonation of other Users
10. Transmission of spam, malware, or other harmful content through the Service
11. Unauthorized use of APIs, scraping, or excessive access through automated tools
12. Any other actions we deem inappropriate

Article 10 (Modification and Suspension of the Service)

1. We may change, add to, or discontinue the Service without prior notice to Users.
2. We may temporarily suspend all or part of the Service in the following circumstances:
   • Maintenance, inspection, or repair of servers, communication lines, or other equipment
   • Difficulty in operation due to fire, power outage, natural disasters, or other force majeure events
   • Failures or specification changes in external services such as the YouTube API or Google Gemini API
   • Any other circumstances where we determine suspension is necessary

Article 11 (Account Suspension and Deletion)

1. If a User violates these Terms, we may suspend or delete the User's account without prior notice.
2. Users may delete their own account at any time from the Settings page. Upon account deletion, all associated data (account information, YouTube data, and derived data) will be permanently deleted.

Article 12 (Disclaimer)

1. The Service is provided on an "as is" basis, and we make no warranties, express or implied, regarding the completeness, accuracy, reliability, or usefulness of the Service.
2. We shall not be liable for any damages incurred by Users due to the following:
   • Suspension, interruption, modification, or discontinuation of the Service
   • Failures, specification changes, or usage restrictions of external services such as the YouTube API or Google Gemini API
   • Content of topics and formatted subtitles generated by AI services
   • Information leaks due to unauthorized access or computer virus intrusion
   • Any other causes not attributable to us
3. Even in cases where we are liable for damages to Users, such liability shall be limited to direct and actual ordinary damages.

Article 13 (External Service Links)

The Service integrates with services operated by third parties such as YouTube and Google. Use of these external services is subject to their respective terms of service and privacy policies. We assume no responsibility for the content of external services.

Article 14 (Protection of Minors)

The Service is provided exclusively to creators who have entered into a partnership agreement with us, and is not intended for children under the age of 16. We do not knowingly collect personal information from children under 16.

Article 15 (Governing Law and Jurisdiction)

1. The interpretation and application of these Terms shall be governed by the laws of Japan.
2. In the event of any dispute arising in connection with the Service, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance.
